The Management Board of Enter Air S.A. ("Company") informs that on April 12, 2018, a subsidiary company of Enter Air S.A. - Enter Air sp. O.o. - and Airconsulting s.r.o. based in Prague (Czech Republic), the Air Charter Transport Agreement was concluded for the sale of seats in airplanes and crew for the summer season 2018 - Winter 2018, which is directly related to the core business of Enter Air sp. o.o. as an air carrier (hereinafter: "Contract"). br> br> The contract was concluded for a definite period until March 31, 2019 and regulates the principles of provision by Enter Air sp. o.o. air passenger and baggage services during the period concerned, on the French and Spanish market. br> Conclusion of the Agreement was classified as confidential due to the significant value of the contract and its relevance to the core business of Enter Air. The estimated value of the Agreement is approximately EUR 27,4400,900 (twenty seven million four hundred and thirty thousand nine hundred euros), equivalent to PLN 114,886,095 (say: one hundred and fourteen million, eight hundred and eighty six thousand and ninety five zlotys) at the average NBP exchange rate of April 12, 2018 amounting to PLN 4,1882 (Table No. 072 / A / NBP / 2018 of April 12, 2018). Br> The Company explains that the total value of benefits under the Agreement can not be determined in a strict manner. , therefore the values given above are estimates, and the final value of the Agreement may differ from the above estimates. br> The value of benefits under the Agreement is affected by a number of variables, including the cancellation scheme for individual flights as provided for in the Agreement, and variable cost components. br> Settlements under this Agreement will be carried out on a regular basis and in accordance with the schedule individual charter flights. br> The agreement provides for additional payments to Enter Air sp. o.o. in case of cancellation of flights by Airconsulting s.r.o., the amount of which depends, inter alia, on the period of advance with which the cruise was canceled. br> The contract does not contain non-standard provisions that would differ significantly from the terms used by Enter Air sp. o.o. in similar contracts concluded with tour operators. br>
