The Management Board of Globe Trade Center S.A. ("Company") hereby informs that pursuant to art. 7.1.1, 7.1.2 and 7.1.3 of the Company's Articles of Association, Powszechne Towarzystwo Emerytalne PZU SA with its registered office in Warsaw, representing the PZU Open Pension Fund "Złota Jesień" ("Eligible Shareholder") appointed Mr. Ryszard Wawryniewicz as a member of the Company's Supervisory Board, 3-year term, beginning on 26 June 2017. br> According to the attached deposit certificate, the Eligible Shareholder holds 47,963,266 shares in the Company, constituting 10.20% of the share capital of the Company and entitling to 10.20% of votes on the general meeting of the Company. br> Mr Wawryniewicz graduated from the Faculty of Philosophy and History at the University of Wrocław. In the years 1997-2001, Mr. Wawryniewicz was a Member of the Polish Parliament. In 2002, he became a member of the Management Board of Invest Bank S.A. In the years 2002-2005 he was the Deputy Mayor of the City of Świdnica. In 2005-2007, Mr Wawryniewicz was a Member of the Polish Parliament, and in 2007-2010 he was Deputy Starost in the Poviat Starosty in Świdnica. In 2011, Mr. Wawryniewicz became the President of Inwestycje Świdnickie Sp. z o.o., which position he held until 2013. Since 2014, he is an Economic Advisor. Ryszar Wawryniewicz is a member of the Supervisory Board of PZU Życie S.A., where he is the Chairman of the Strategy and Development Committee. He also sits on the Supervisory Board of PZU Zdrowie Sp. z o. o. br> According to the submitted statement, Mr. Ryszard Wawryniewicz is not entered into the register of insolvent debtors kept under the Act on the National Court Register of August 20, 1997 and does not perform any other activities outside the Company's enterprise, which is in relation to Competitive, does not participate in a competitive company as a partner in a civil law partnership, partnership or as a member of a body of a capital company or other competitive legal person. br> According to the statement, Mr. Ryszard Wawryniewicz meets the independence criterion set out by the European Commission in Annex II to Commission recommendations of 15 February 2005 regarding non-executive or supervisory directors of listed companies and committees of the (supervisory) board as well as additional requirements indicated in the Code of Best Practice for WSE Listed Companies, annexed to Resolution No. 27/1414/2015 of the Council of Ministers ełdy on October 13, 2015r. br> Legal basis: Paragraph 5 para. 1 point 22 of the Regulation of the Minister of Finance of February 19, 2009 on current and periodic information published by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
