Legal basis: Article 56 para. 1 point 2 of the Act on the offer - current and periodic information
The Management Board of Grodno S.A. ("Company") informs that on September 18, 2018 the Ordinary General Meeting adopted resolutions resulting in changes in the composition of the Supervisory Board.
In connection with the resignations submitted, the Ordinary General Meeting of the Company adopted a resolution to dismiss Mr. Dariusz Skłodowski and Mr. Marcin Woźniak from the Supervisory Board. In addition, the Ordinary General Meeting of the Company adopted resolutions on the appointment of Mrs Beata Pniewska-Prokop and Ms. Elżbieta Serwińska to the Supervisory Board.
Information on the education, qualifications and professional career of the appointed Members of the Supervisory Board is included in the curricula constituting the attachments to this report. The Company informs that according to submitted declarations, appointed Members of the Supervisory Board do not perform competitive activity in relation to the activity of the Issuer and are not a partner in a civil law partnership, a partnership or a member of a competitive capital company body, or a member of the body of any competitive legal entity . They are also not listed in the Insolvent Debtors Register maintained pursuant to the Act of August 20, 1997 on the National Court Register (Journal of Laws No. 121, item 769, as amended). In addition, according to submitted declarations, appointed Members of the Supervisory Board meet the criteria of independence from the Company and entities with significant connections with the Company within the meaning of Annex II to the Recommendation of the European Commission of February 15, 2005 regarding the role of non-executive directors or being members of the supervisory board of listed companies and committees of the (supervisory) board, taking into account the Good Practices of Companies Listed on the Warsaw Stock Exchange.
