The Management Board of INVESTEKO Spółka Akcyjna with its registered office in Świętochłowice (hereinafter: "Issuer") informs that on August 20, 2018, it signed a purchase agreement for 35 (thirty-five) shares, representing 35% of the share capital of Ekopartner Silesia Sp . z o.o. with headquarters in Świętochłowice (hereinafter: "Company"). The Company's shareholders submitted a written statement on the waiver of the pre-emption right for these shares. In addition, the Issuer's Management Board, in reference to ESPI report 14/2018 dated August 10, 2018, informs that the Company's Partners submitted a written statement on their failure to exercise their right of first refusal in relation to 27 shares of the Company that were acquired by the Issuer on August 10, 2018.
As a result of the share purchase agreements concluded by the Issuer, the Issuer holds in total 62 (say: sixty two) shares in the company Eksporter Silesia Sp. z o.o., which constitutes 62% of the share capital of the Company.
The acquisition of a majority share package is in line with the Issuer's strategy, which assumes the entry into the plastics recycling industry due to the growing national, European and global problem of plastics utilization. This situation causes an increase in the demand for plastics recycling installations and thus an increase in the profitability of such installations. Ekopartner Silesia has all the environmental and waste management permits required to operate in the field of recycling. It has the status of "Recycler".
The Issuer purchased shares and superseded the Ekopartner company in order to expand the machine park and significantly increase its efficiency using the existing industrial infrastructure at the Issuer's headquarters.
