Management of MLP Group S.A. ("Company") informs that on May 30, 2018 it received information that one of the company's shareholders, Cajamarca Holland B.V. with its registered office in Delft, the Netherlands, exercising its rights under the Company's Articles of Association, on May 28, 2018, Mr Shimshon Marfogel, Mr Eytan Levy and Mr Daniel Nimrodi were appointed for the next term of the Company's Supervisory Board. Mr. Shimshon Marfogel is the Chairman of the Supervisory Board of the Company, Mr. Eytan Levy and Mr. Daniel Nimrodi act as Members of the Supervisory Board of the Company.
The Management Board of the Company also informs that on May 29, 2018 it received information that one of the company's shareholders, Miro B.V. with its registered office in Delft, the Netherlands, exercising its rights under the Company's Articles of Association, on 28 May 2018 appointed Mr. Guy Shapira for the next term of the Company's Supervisory Board. Mr. Guy Shapira is a Member of the Supervisory Board of the Company.
Mr. Shimshon Marfogel has a university degree: he graduated from the Hebrew University in Jerusalem, earning a bachelor's degree in the Department of Accountancy and Economics. Shimshon Marfogel has been working since 1985 in Israel Land Development Company Ltd. with headquarters in Tel Aviv as: chief accountant (in 1985-1986), vice president and chief accountant (in 1986-2001), general director (in 2001- 2004); since 2004 he has been the vice president of the board of Israel Land Development Company Ltd.
Mr. Eytan Levy has a university degree: he graduated from Baran Ilan University in Ramat Gan, obtaining a bachelor's degree from Political Sciences. From 1982 to 1991 he held various managerial functions, including director of the special products department, vice president of the board responsible for marketing at the Israel National Post Authority, based in Jerusalem. In the years 1991-1997 he held various managerial functions, including Director of security and logistics, vice president of the board for marketing and sales at the Israel National Telecomunications Company, based in Jerusalem. In the years 1998-2000 he was a partner in the Israeli office of the American law company Gerard, Klauer & Mattison, based in Tel Aviv. Since 1997, he has been the director of the Percite Technology Israeli law company.
Mr. Daniel Nimrodi has the title of LL.B in the field of law, specialization - International Commercial Law,and a bachelor in business management. Daniel Nimrodi joined The Israel Land Development Company Ltd. "ILDC" in 2016 as the Urban Renewal Manager of ILDC Group and Vice President of The New Community Ltd. - a subsidiary of ILDC.
Mr. Guy Shapira graduated with honors from Interdisciplinary Center Herzliya IDC in Israel with a bachelor's degree at the Department of Business and Administration B.A. and LL.B. Law, with specialization: international commercial law. He also has Israeli attorney qualifications. Before appointment to the Supervisory Board of the Company, Mr. Guy Shapira worked for the law firm Steinmetz, Haring, Gurman & Co. in Israel and sat on the Audit Committee of the IDC students' union.
The Board also informs that according to the statements of Messrs. Shimshon Marfogel, Eytan Levy, Daniel Nimrodi and Guy Shapira, they do not run activities outside the Company's business that are competitive to the Company's operations, as well as do not participate in a competitive company as a partner in the company civil law, partnership or as a member of the competitive body of a capital company or a member of the body of any competitive legal person and are not entered in the Register of Insolvent Debtors maintained pursuant to the provisions of the Act on the National Court Register (KRS).
