POLWAX SA (25/2017) Adoption of changes in the Company Statute by the Company's Management Board and positive opinion on changes by the Supervisory Board of the Company.

Legal basis: Article 56 para. 1 point 2 of the Act on the offer - current and periodic information The Management Board of Polwax S.A. ("Company") informs that today, 13.09.2017, it adopted resolution No. 76/2017 regarding amendments to the Company's Articles of Association. In the Annex to this report, the Company presents the changes adopted by the Management Board of the Company Company's statute. The proposed changes concern: - the need to adapt the document to the Act of 11 May 2017 on statutory auditors, audit firms and public supervision, - to introduce changes in the competence of the Supervisory Board, - introduction changes in the Company's share capital, in particular related to the end of the managerial option program. The amendments to the Statutes adopted by the Company's Management Board have been positively evaluated by the Company's Supervisory Board today. The final decision on their introduction to the Articles of Association will be taken by the next General Meeting of the Company. As at the date of publication of the report, the uniform text of the Articles of Association was not prepared. The next General Meeting on the basis of the Code of Commercial Companies may authorize the Supervisory Board of the Company to establish the consolidated text of the amended Articles of Association - Commercial Companies Code art.430 par.5. Detailed legal basis: § 38 para. 1 point 2a of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
