The Management Board of Quercus TFI S.A. took today the decision to create a R1 FIZ fund. R1 FIZ will be recapitalized by the amount of approx. PLN 86,000,000 by Quercus TFI S.A. and fund Q1 FIZ in the 50/50 ratio. R1 FIZ will buy back all GetBack SA bonds held by the QUERCUS Capital Protection sub-fund allocated under QUERCUS Parasolowy SFIO, QUERCUS Multistrategy FIZ and QUERCUS Absolute Return FIZ at 100% of the value with the interest as at the last valuation date, March 29, 2002. The above decision may affect the amount recommended for distribution to shareholders of Quercus TFI SA from the profit for 2017. The Ordinary General Meeting is planned for the third decade of June this year. Involvement of R1 FIZ in GetBack S.A. it may be reduced due to the purchase of subsequent series of bonds. To secure the interest of the Participants of the QUERCUS Capital Protection sub-fund allocated as part of QUERCUS Parasolowy SFIO, this subfund today will forfeit all possessed GetBack SA bonds to the Q1 FIZ fund. at the price of 100% of the nominal value plus interest as at the last valuation date, March 29, 2002. All existing liabilities resulting from the issued bonds GetBack S.A. settled on time. Legal basis: - art. 17 sec. 1 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16 April 2014 on market abuse (market abuse regulation) and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission directive 2003 / 124 / WE, 2003/125 / EC and 2004/72 / EC; - par. 38 par. 1 point 11 of the Regulation of the Minister of Finance of 19 February 2009 on current and periodic information published by issuers of securities and conditions for recognizing as equivalent information required by the laws of a non-member state.
