The Management Board of Rainbow Tours Spółka Akcyjna with its registered office in Łódź (hereinafter referred to as the "Company" or "Issuer") hereby informs, pursuant to Art. 17 of Regulation (EU) No 596/2014 of the European Parliament and of the Council of 16/04/2014 on market abuse (regulation on market abuse) and repealing Directive 2003/6 / EC of the European Parliament and of the Council and Commission directive 2003 / 124 / WE, 2003/125 / EC and 2004/72 / EC ("MAR Regulation") that on 01/09/2017 the Company and the contractor concluded with Enter Air Limited Liability Company with a registered office in Warsaw. (Air Charter Transport Agreement), hereinafter referred to as the "Charter Agreement." Br> This Charter Contract concerns the purchase by Rainbow Tours SA of seats in airplanes together with the crew and provision by Enter Air Sp. z o.o. in favor of Rainbow Tours SA, air charter services in the tourist season "Summer 2018" and "Zima 2018/2019", necessary for the Issuer to conduct its core business in the provision of tourist services, including air charter services provided for in the Charter Agreement for various destinations of holiday destinations. The implementation of the subject of the Charter Agreement and the provision of charter services falls on 25/04/2018 and its completion is scheduled for 23/04/2019. Br> In accordance with the provisions of the Charter Agreement, on the day of signing the value of the services established by the Charter Agreement is estimated in the amount of: USD 46.3 million (forty six million three hundred thousand US dollars), equivalent to PLN 165,258,590 (one hundred sixty five million two hundred fifty eight thousand five hundred ninety zlotys), converted (in the foreign currency) according to the average American dollar exchange rate of 01/09/2017 (3,5693), published by the National Bank of Poland in the table No. 169 / A / NBP / 2017. br> Settlement of the said Charter Agreement will be effected on up to date and in accordance with the schedule of individual charter flights. br> The Issuer has the option to change the number of deliveries on the basis of the Charter of Cruises following the increasing or decreasing market demand, which may translate into a change in the total value of the Charter Agreement. The Charter Agreement contains standard provisions as to the possibility of its dissolution by the Parties. The Charter Agreement does not provide for thecontractual penalties, however, includes fees for the reduction of the flight program in the case of cancellations of flights by Rainbow Tours SA, the amount of which depends, inter alia, on the advance period with which the flight was canceled. br>
