The Management Board of Rank Progress S.A. with headquarters in Legnica (hereinafter: "Issuer") informs that on March 28, 2018 The Issuer has concluded with Remil Sp. z o.o. with a registered office in Włocławek, a share purchase agreement for shares in the company Omega Investments Sp. z o.o. based in Włocławek (hereinafter: "Preliminary Agreement"). Pursuant to the Preliminary Agreement, the Issuer intends to acquire 50% of shares in Omega Investments Sp. z o.o. based in Włocławek for the amount of PLN 20 million. The Final Agreement will be concluded on the day falling no later than within 7 (seven) days from the date of the fulfillment or waiver of the Conditions of Suspension, and in no case later than on December 31, 2018. br> The Issuer informs that the company Omega Investments Sp. z o.o. with its registered office in Włocławek ("the Company") is the only owner of the real estate constituting the plot of land with the registration numbers 13/6, 14/2, 15/2, 16/2, 13/13, 13/15, 13/17 and 13/19 located in Włocławek at Kapitulna i Długa St. with a total area of 8,9490 ha ("Real Property"), for which the District Court in Włocławek, VI Land and Mortgage Register keeps a land and mortgage register number WL1W / 00000774/1. The company realizes on the Real Estate investment consisting in the construction of a set of commercial and service facilities, including separate retail and service parts for the purpose of stores and service outlets (including a DIY store for business in the "Dom, Wnętrze, Ogród" industry). < / br> Due to failure to comply with the Preliminary Agreement, the Parties did not provide for the calculation of penalties. br>
