Legal basis: Art. 56 sec. 1 point 2 of the Act on Public Offering - current and periodic information
Management Board of Votum S.A. based in Wrocław ("Company") informs that today it learned about the entry to the register of entrepreneurs made on September 15, 2020 by the District Court for Wrocław-Fabryczna in Wrocław, 6th Commercial Division of the National Court Register, of the amendments to the Articles of Association described below .
Pursuant to Resolution No. 21 of the Ordinary General Meeting of the Company of August 17, 2020, the following amendments to the Articles of Association were made:
a) § 16 point 9 of the Articles of Association received the following wording: "establishing, on the basis of the authorization contained in the Remuneration Policy for members of the Management Board and Supervisory Board of Votum SA (hereinafter: Remuneration Policy), detailed principles of employment and the amount of remuneration of the members of the Management Board",
b) in § 16 after point 13 ) points 14), 15), 16) and 17 have been added "as follows:
" 14) giving opinions on the Remuneration Policy for members of the management board and supervisory board,
15) drawing up an annual remuneration report,
16) granting consent to conclude a material transaction, in accordance with the Procedure for periodic evaluation of transactions concluded on market terms with related entities as part of the company's ordinary activities in Votum SA,
17) periodic evaluation of transactions concluded on market terms as part of the Company's ordinary activities ".
c) in § 20 section 1 after point 8) point 9) has been added with the following wording:
" 9) adoption of the Remuneration Policy for members of the management board and supervisory board in Votum SA "< br /> The consolidated text of the Articles of Association, taking into account the changes referred to above, is provided by the Company in the attachment to this report.
§ 5 point 1 of the Regulation of the Minister of Finance of March 29, 2018 on current and periodic information provided by issuers of securities and conditions for recognizing as equivalent information required by the law of a non-member state.
