The Management Board of VOXEL S.A. based in Krakow (& quot; Company & quot;) informs that yesterday, i.e. on & lt; br / & gt; October 25, 2018 between the Company (as the buyer) and HEALTHCARE INVESTMENTS société à responsabilité limitée with its registered office in Luxembourg entered into the Commercial Register and Companies (Registre de Commerce et des Sociétés) under number B171197 (as the seller) (& quot; Seller & quot;) has been concluded an agreement for the purchase of shares of a company operating under the name Exira Gamma Knife sp. z o. o based in Katowice (& quot; Exira & quot;), the subject of which is the acquisition of 99,500 (ninety-nine thousand five hundred) shares in Exira, with a nominal value of PLN 50.00 (fifty zloty) each, i.e. shares with a total nominal value of PLN 4,95,000.00 PLN (four million, nine hundred and seventy-five thousand zlotys), constituting 49% of the share capital of Exira and entitling to 99,500 (ninety-nine thousand five hundred) votes at the shareholders' meeting (& quot; Shares & quot;). The price for the Shares was PLN 11,100,000.00 (eleven million one hundred thousand zlotys) (& quot; Price & quot;). Pursuant to the provisions of the contract, the Company undertook to pay the Price in two first installments in the amount of PLN 9,000,000.00 (nine million zlotys) and the other in the amount of PLN 2,100,000.00 (two million one hundred thousand zlotys), payable by the day December 31, 2018. To secure the payment of the second tranche of the Price, the Company made a declaration on submission to enforcement in the form of a notarial deed pursuant to art. 777 § 1 point 4 of the Code of Civil Procedure. The Company paid to the Seller the first installment of the Price today, ie October 26, 2018, as a consequence of which the Company has transferred all rights to Shares, which is confirmed by the Seller's statement delivered to the Company. Before concluding the Agreement, the Company held 51% of shares in Exira. The Share purchase agreement and all non-contractual obligations arising from or arising in connection with it are subject to Polish law. & Lt; br / & gt;
